Commercial Use Agreement
This Commercial Use Agreement ("Agreement") is entered into between you ("User," "You," "Your") and MedmartRx, LLC ("MedmartRx," "We," "Us," "Our") and governs your use of the MedmartRx platform for commercial purposes.
1. Grant of License
Subject to your compliance with the terms of this Agreement and the general Terms and Conditions, MedmartRx grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the MedmartRx platform, services, and data for the sole purpose of conducting legitimate commercial transactions related to pharmaceutical products as a licensed and verified pharmacy or wholesaler.
2. Permitted Commercial Activities
You are permitted to use the MedmartRx platform to:
- List for sale pharmaceutical products that you are legally entitled to sell.
- Search for and purchase pharmaceutical products from other verified users.
- Engage in communications with other users for the purpose of facilitating a transaction.
- Manage your inventory, orders, and sales through the tools provided on the platform.
- Comply with all Drug Supply Chain Security Act (DSCSA) requirements and other applicable laws and regulations.
3. Prohibited Uses
You expressly agree not to use the MedmartRx platform for any of the following prohibited purposes:
- Selling or attempting to sell any counterfeit, diverted, stolen, or otherwise illegitimate products.
- Data scraping, harvesting, or any other method of automated data collection from the platform without our express written consent.
- Using platform data, including pricing and inventory information, for any purpose other than facilitating a transaction on the MedmartRx platform.
- Circumventing the platform to complete transactions initiated on MedmartRx with other users in an attempt to avoid service fees.
- Any activity that is illegal, fraudulent, or violates any applicable federal, state, or local laws and regulations.
4. Fees and Payments
You agree to pay all applicable fees for transactions conducted on the platform as outlined in our fee schedule, which may be updated from time to time. All fees are due at the time of the transaction unless otherwise specified. Failure to pay fees may result in the suspension or termination of your account.
5. Confidentiality and Data
"Confidential Information" includes all non-public information disclosed by one party to the other, including but not limited to transaction data, pricing, and user information. You agree to hold all Confidential Information in strict confidence and not to disclose it to any third party. MedmartRx may use anonymized and aggregated data for analytics, reporting, and other business purposes.
6. Termination
MedmartRx reserves the right to terminate or suspend your access to the platform for commercial use at any time, without notice, for conduct that we believe violates this Agreement, the general Terms and Conditions, or is harmful to other users of the platform, us, or third parties, or for any other reason.
By checking the "I agree to the Commercial Use Agreement" box, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
